This Phase Upgrade Agreement ("Upgrade Agreement") is a legal supplement to the Sentinel CPO Private Client Agreement ("PCA"). It becomes binding upon the Licensee's electronic acknowledgment within the Client Portal. All terms of the original PCA — including the Autonomous AI Acknowledgment, Medical Decoupling, Telemetry Ingestion Consent, Ephemeral Liquidation framework, and Governing Law — remain in full force and are incorporated herein by reference.
This Upgrade Agreement is entered into between Sentinel CPO LLC, a Connecticut limited liability company ("Company"), and the individual Licensee identified by the account registered in the Sentinel Client Portal ("Licensee").
This Agreement governs the Licensee's election to advance to a higher phase of the Sentinel CPO service beyond the current active phase. The Licensee's original Private Client Agreement remains the foundational legal instrument. This Upgrade Agreement supplements — it does not replace — that document.
The Licensee acknowledges that each phase upgrade represents a new, voluntary, and independent licensing decision. Phase upgrades are not automatic renewals — they require affirmative electronic consent by the Licensee within the Client Portal.
Upon meeting the minimum duration threshold for their current phase, the Licensee is presented with upgrade and continuation options within the Client Portal. The Sentinel CPO system operates across three phases:
Full terms for each phase are set out in Sections 3 through 6 of this Agreement. Phase 3 — Sovereign terms are detailed in Section 6.
Phase 2 Deployment operates on a month-to-month basis commencing on the date of electronic consent. There is no annual commitment and no early termination fee. The Licensee may enter Cryo-Sleep (Vault Preservation at $295.00 USD per month) or cancel at any time from the Client Portal. There is no early termination fee for either option.
The monthly fee of $1,495.00 USD replaces the Phase 1 rate of $995.00 USD. The same payment method on file will be charged monthly. No additional deposit, setup fee, or activation charge applies beyond the increased monthly rate.
Upon activation of Phase 2 Deployment, the Autonomous Sentinel's weekly briefing intelligence expands from inward diagnostics to include outward deployment analysis. Critically, all Phase 1 briefing sections are preserved and carried forward — the complete inward behavioral layer accumulates rather than resets. Phase 2 adds two intelligence layers built on the Phase 1 foundation: Behavioral & Friction Analysis, which maps how the Licensee's internal behavioral patterns are compromising specific stakeholder interactions and deployment contexts; and Preemptive Intelligence & Trajectory Analysis, which identifies what is degrading before the Licensee perceives it and which organizational moves will pay the accumulated cost. Phase 2 also includes two exclusive outward-intelligence sections not present in Phase 1: Friction Map (corporate theatre analysis, identifying the performance cost of organizational ritual and avoidance) and Influence Architecture & Leverage (deployment positioning). Phase 2 also unlocks Tactical Calls (2/month) for voice intake on specific high-stakes events, Resolution Briefings (which launch a focused session from any brief finding, counted against the Tactical allowance), and the Predictive Threat Horizon — a client-adjustable forward projection window (30 / 90 / 180 days) controlling how far the Preemptive Intelligence section looks ahead. The specific features, outputs, and capabilities available within Phase 2 are described in the Sentinel CPO Client Portal and at sentinelcpo.com, and may be modified, enhanced, or updated as the Service develops. Sentinel CPO LLC reserves the right to adjust specific feature implementations while maintaining Phase 2's core outward-intelligence posture.
The Licensee acknowledges that all Phase 2 outputs are AI-generated and are subject to the AI Hallucination and Errors disclaimer contained in Section 2 of the original Private Client Agreement. Sentinel CPO LLC assumes no liability for the Licensee's use of or reliance upon any Phase 2 output, analysis, or recommendation.
On each 12-month anniversary of the Licensee's subscription start date, provided the subscription remains active and in good standing at any Phase tier, Sentinel CPO LLC will apply a $995.00 USD 12-Month Loyalty Credit to the Licensee's next invoice. The credit vests only upon generation of the invoice immediately following the anniversary date. It applies to all active Phase tiers (Phase 1, Phase 2, Phase 3) and to Cryo-Sleep vault preservation invoices. Any remaining credit balance carries forward to subsequent invoices until fully applied or the subscription is terminated.
The 12-Month Loyalty Credit has no cash value, is non-transferable, and is forfeited if the subscription is terminated prior to the invoice on which it would apply. The credit may be applied toward a new Oura Ring purchased directly from Oura Health Oy, or toward any other subscription invoice balance. Post-year-1 hardware procurement is the Licensee's responsibility; Sentinel CPO LLC is not involved in hardware purchasing after the initial deployment. All fees under this Agreement are all-inclusive — no additional tax lines are added to invoices.
Phase 2 Deployment is available to the Licensee after a minimum of sixty (60) calendar days in Phase 1. This minimum exists to ensure sufficient biometric signal depth for the Phase 2 intelligence layer to operate at its designed fidelity. The Company will present the Phase 2 upgrade option via the Client Portal and a notification email on or around Day 90 of Phase 1.
Motivated Licensees who wish to upgrade prior to the Day 90 notification may do so after Day 60 by accessing the Phase Progression section of their Client Portal directly.
The Licensee's Sovereign Baseline — the longitudinal biometric and behavioral dataset compiled during Phase 1 — is preserved and carried forward as the foundational dataset for Phase 2 intelligence modeling. This baseline does not reset upon upgrade. The Ephemeral Liquidation provisions of the original ELA apply to all accumulated data upon the conclusion or termination of any active phase term.
Phase 1 Foundation operates on a purely month-to-month basis from Day 31 of the Calibration Pilot. There is no annual commitment, no minimum duration, and no early termination fee at any point during Phase 1.
The Licensee has two options for ending Phase 1 service:
The Licensee retains all Phase 1 features under Phase 1 month-to-month service. The Licensee may upgrade to Phase 2 at any time by completing the Phase 2 upgrade clickwrap in the Client Portal, subject to the 60-day minimum duration gate.
There is no early termination fee for Phase 1 at any time. This same no-termination-fee structure applies equally to Phase 2 and Phase 3.
There is no early termination fee at any phase of the Sentinel CPO service. Phase 2 Deployment and Phase 3 Sovereign operate on the same month-to-month, no-commitment structure as Phase 1. The Licensee may enter Cryo-Sleep or cancel at any time with no early termination fee.
Cryo-Sleep (Vault Preservation) activates at the end of the current billing period and continues at $295.00 USD per month; all platform data is preserved for seamless reactivation. Full cancellation permanently terminates the license and initiates the 30-day Ephemeral Liquidation protocol as described in the Private Client Agreement. There is no early termination fee in either case.
Phase 3 Sovereign is available to Licensees after a minimum of sixty (60) calendar days in Phase 2. Phase 3 carries forward the complete Phase 2 intelligence layer and expands it temporally — adding three exclusive longitudinal sections plus the Executive Arc, the flagship Phase 3-exclusive output. The Executive Arc section is produced only after sustained multi-year observation; it contains intelligence no single week, quarter, or year of briefings could surface alone.
Phase 3 Sovereign operates on a month-to-month basis commencing on the date of electronic consent. There is no annual commitment and no early termination fee. The monthly fee of $1,995.00 USD replaces the Phase 2 rate of $1,495.00 USD. The same payment method on file will be charged monthly. No additional deposit, setup fee, or activation charge applies beyond the increased monthly rate. The Licensee may enter Cryo-Sleep (Vault Preservation at $295.00 USD per month) or cancel at any time from the Client Portal, with no early termination fee for either option.
Upon activation of Phase 3 Sovereign, the Autonomous Sentinel's intelligence layer expands temporally. All Phase 2 briefing sections are preserved and carried forward — nine sections remain active in full. Phase 3 adds three longitudinal sections: Friction Map — Longitudinal (how the corporate friction landscape has evolved, persisted, or transformed across years); Influence Architecture — Longitudinal (which leverage positions have genuinely grown and which gaps have persisted); and the Executive Arc. Phase 3 also introduces Sovereign Ledger Briefings — the multi-year longitudinal briefing format that synthesizes the full arc of accumulated intelligence — and upgrades Tactical & Resolution Briefings to unlimited. The Executive Arc is the flagship Phase 3-exclusive section and is produced only after sustained multi-year observation. It contains four components: Cognitive Signature (the 2–3 recurring biases and distortions that define how the Licensee processes pressure — named, evidenced, and tracked across the full archive with accumulated cost); Growth Markers (forensic evidence of genuine change in the Licensee's cognitive architecture, with the specific period and behavioral evidence); Persistent Drag Vectors (what has not changed despite years of observation, named with accumulated organizational cost); and Decision Quality Arc (whether the Licensee's high-stakes decision patterns have improved, degraded, or held constant across the full observation period). The specific features, outputs, and capabilities available within Phase 3 are described in the Sentinel CPO Client Portal and at sentinelcpo.com, and may be modified, enhanced, or updated as the Service develops. Sentinel CPO LLC reserves the right to adjust specific feature implementations while maintaining Phase 3's core longitudinal intelligence posture.
Phase 3 also produces the Annual Sovereign Review — a standalone intelligence document designed to generate at each 12-month Phase 3 anniversary. It is the single most comprehensive document in the Sentinel CPO system: a complete annual record of the Licensee's full-year biometric arc, cognitive and behavioral pattern synthesis, year-over-year comparison (available from Year 2 onward), and forward trajectory intelligence. The Annual Sovereign Review is produced only after 12 consecutive months of Phase 3 subscription and is delivered to the Licensee's secure vault. It gets richer with each successive year of continuous observation.
The Licensee acknowledges that all Phase 3 outputs are AI-generated and are subject to the AI Hallucination and Errors disclaimer in Section 2 of the original Private Client Agreement. Sentinel CPO LLC assumes no liability for the Licensee's use of or reliance upon any Phase 3 output, longitudinal analysis, or temporal modeling content.
Phase 3 Sovereign is available to the Licensee after a minimum of sixty (60) calendar days in Phase 2. The Company will present the Phase 3 upgrade option via the Client Portal and a notification email on or around Day 90 of Phase 2. Motivated Licensees who wish to upgrade prior to the Day 90 notification may do so after Day 60 by accessing the Phase Progression section of their Client Portal directly.
The entirety of the Licensee's compiled intelligence dataset — every biometric record, voice check-in session metadata, behavioral briefing, and Sovereign Baseline established across Phase 1 and Phase 2 — is preserved and carried forward as the foundational longitudinal dataset for Phase 3 Sovereign Ledger synthesis. This dataset does not reset upon upgrade. The Ephemeral Liquidation provisions of the original ELA apply to all accumulated data upon the conclusion or termination of any active phase term.
A Licensee in Phase 2 Deployment who does not elect to upgrade to Phase 3 continues on the same month-to-month billing at the Phase 2 rate of $1,495.00 USD per month. No action is required — service continues until the Licensee pauses or cancels from the Client Portal. All Phase 2 features remain active as currently described in the Client Portal. Phase 3 Sovereign features are not activated until the Licensee completes the Phase 3 upgrade clickwrap.
The Licensee's election of a Phase 2 upgrade or Phase 1 Continuation through the Client Portal clickwrap constitutes a legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic signature laws.
Sentinel CPO LLC records the timestamp, IP address, and session context of each phase election event. For Phase 2 upgrades, this record constitutes the Licensee's binding acceptance of the updated monthly rate and all terms of this Upgrade Agreement and the incorporated original ELA.
This Upgrade Agreement is governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration in accordance with the full dispute resolution terms set forth in the Sentinel CPO Terms of Service.
