This Phase Upgrade Agreement ("Upgrade Agreement") is a legal supplement to the Sentinel CPO Private Client Agreement ("PCA"). It becomes binding upon the Licensee's electronic acknowledgment within the Client Portal. All terms of the original PCA — including the Autonomous AI Acknowledgment, Medical Decoupling, Telemetry Ingestion Consent, Ephemeral Liquidation framework, and Governing Law — remain in full force and are incorporated herein by reference.
This Upgrade Agreement is entered into between Sentinel CPO LLC, a Connecticut limited liability company ("Company"), and the individual Licensee identified by the account registered in the Sentinel Client Portal ("Licensee").
This Agreement governs the Licensee's election to advance to a higher phase of the Sentinel CPO service beyond the current active phase. The Licensee's original Private Client Agreement remains the foundational legal instrument. This Upgrade Agreement supplements — it does not replace — that document.
The Licensee acknowledges that each phase upgrade represents a new, voluntary, and independent licensing decision. Phase upgrades are not automatic renewals — they require affirmative electronic consent by the Licensee within the Client Portal.
Upon meeting the minimum duration threshold for their current phase, the Licensee is presented with upgrade and continuation options within the Client Portal. The Sentinel CPO system operates across three phases:
Full terms for each phase are set out in Sections 3 through 6 of this Agreement. Phase 3 — Sovereign terms are detailed in Section 6.
By electing Phase 2 Deployment, the Licensee initiates a new, independent 12-month enterprise software license term commencing on the date of electronic consent. This new term is governed by all provisions of the original ELA, as supplemented by this Upgrade Agreement, and runs for twelve (12) calendar months from the effective date of election.
The monthly fee of $1,495.00 USD replaces the Phase 1 rate of $995.00 USD. The same payment method on file will be charged monthly. No additional deposit, setup fee, or activation charge applies beyond the increased monthly rate.
Upon activation of Phase 2 Deployment, the Autonomous Sentinel's weekly Sunday Briefing engine undergoes a fundamental architectural shift. Phase 1 Briefings were calibrated to inward diagnostics — the Principal's own physiological state, cognitive load, and behavioral patterns. Phase 2 Briefings transition to an outward, offensive posture:
The Licensee acknowledges that Phase 2 Friction Map outputs, like all AI-generated outputs, are subject to the full AI Hallucination and Errors disclaimer contained in Section 2 of the original ELA. The Company assumes no liability for the Licensee's independent use of or reliance upon any Friction Map analysis, Influence Architecture assessment, or Predictive Threat Horizon output.
As part of the ongoing Sentinel CPO service, the Company coordinates an annual Oura Ring equipment refresh for active Licensees. This refresh is a service continuity benefit applied on an annual basis, independent of phase progression — all active Licensees receive this refresh at the appropriate annual interval. The Company bears the cost of hardware procurement and fulfillment. No additional hardware fee is charged to the Licensee.
The Licensee acknowledges that the annual equipment refresh is a service benefit — not a transfer of ownership subject to separate warranty or guarantee beyond those provided by the hardware manufacturer. Refresh timing is subject to logistics and inventory availability; the Company will make commercially reasonable efforts to coordinate delivery within 30 days of the applicable annual anniversary date.
Phase 2 Deployment is available to the Licensee after a minimum of sixty (60) calendar days in Phase 1. This minimum exists to ensure sufficient biometric signal depth for the Phase 2 intelligence layer to operate at its designed fidelity. The Company will present the Phase 2 upgrade option via the Client Portal and a notification email on or around Day 90 of Phase 1.
Motivated Licensees who wish to upgrade prior to the Day 90 notification may do so after Day 60 by accessing the Phase Progression section of their Client Portal directly.
The Licensee's Sovereign Baseline — the longitudinal biometric and behavioral dataset compiled during Phase 1 — is preserved and carried forward as the foundational dataset for Phase 2 intelligence modeling. This baseline does not reset upon upgrade. The Ephemeral Liquidation provisions of the original ELA apply to all accumulated data upon the conclusion or termination of any active phase term.
By electing Phase 1 Continuation following the conclusion of the initial 12-month term, the Licensee extends the service on a month-to-month basis at the current Phase 1 rate of $995.00 USD per month. No new annual commitment is created.
Under Continuation, the Licensee retains all Phase 1 features. Phase 2 features — including Friction Maps, Gen-2 hardware, and predictive threat modeling — are not activated under Continuation. The Licensee may upgrade to Phase 2 at any time during Continuation by returning to the Client Portal and completing the Phase 2 upgrade clickwrap, subject to the 60-day minimum duration gate.
The $750 Hardware Decommissioning & Data Liquidation Fee does not apply to cancellation of a Phase 1 Continuation arrangement following the natural conclusion of the initial 12-month Phase 1 term.
Each phase upgrade initiates a new, independent 12-month commitment. The original ELA's Early Termination Fee provisions apply in full to each new phase term independently. If the Licensee voluntarily cancels any active phase term prior to the completion of that term's 12-month period, the Licensee explicitly authorizes Sentinel CPO LLC to immediately charge the credit card on file a one-time $750.00 USD Hardware Decommissioning & Data Liquidation Fee. This fee applies per phase term independently.
This Early Termination Fee does not apply to: (a) non-upgrade following the conclusion of a completed phase term; (b) cancellation during a Phase 1 Continuation month-to-month arrangement; or (c) termination initiated by Sentinel CPO LLC.
Phase 3 Sovereign is available to Licensees after a minimum of sixty (60) calendar days in Phase 2. Phase 3 applies the same three intelligence disciplines — cognitive, behavioral, and autonomic — through a longitudinal lens: Sovereign Ledger synthesis across multiple years of compiled data, cross-cycle behavioral pattern analysis, and Predictive Sovereign Briefings.
By electing Phase 3 Sovereign, the Licensee initiates a new, independent 12-month enterprise software license term commencing on the date of electronic consent. The monthly fee of $1,995.00 USD replaces the Phase 2 rate of $1,495.00 USD. The same payment method on file will be charged monthly. No additional deposit, setup fee, or activation charge applies beyond the increased monthly rate.
Upon activation of Phase 3 Sovereign, the Autonomous Sentinel's weekly Sunday Briefing engine undergoes a fundamental architectural expansion. Where Phase 2 Briefings were calibrated to outward deployment of the Principal's cognitive and physiological state onto their immediate corporate environment, Phase 3 Briefings expand temporally — synthesizing intelligence across multiple years of compiled data to surface patterns invisible to any single week or month of analysis.

The Licensee acknowledges that Phase 3 Sovereign Ledger outputs are subject to the full AI Hallucination and Errors disclaimer in Section 2 of the original ELA. The Company assumes no liability for the Licensee's use of or reliance upon any longitudinal pattern analysis, temporal modeling output, or Sovereign Briefing content.
Phase 3 Sovereign is available to the Licensee after a minimum of sixty (60) calendar days in Phase 2. The Company will present the Phase 3 upgrade option via the Client Portal and a notification email on or around Day 90 of Phase 2. The entirety of the Licensee's compiled intelligence dataset — every biometric record, voice check-in transcript, behavioral briefing, and Sovereign Baseline established across Phase 1 and Phase 2 — is preserved and carried forward as the foundational longitudinal dataset for Phase 3 Sovereign Ledger synthesis. This dataset does not reset upon upgrade. The Ephemeral Liquidation provisions of the original ELA apply to all accumulated data upon the conclusion or termination of any active phase term.
By electing Phase 2 Continuation following the conclusion of an active Phase 2 term, the Licensee extends the service on a month-to-month basis at the Phase 2 rate of $1,495.00 USD per month. No new annual commitment is created. The Licensee retains all Phase 2 features including Friction Map Sunday Briefings, Influence Architecture analysis, and Predictive Threat Horizon modeling. Phase 3 Sovereign features are not activated under Continuation.

The Licensee's election of a Phase 2 upgrade or Phase 1 Continuation through the Client Portal clickwrap constitutes a legally binding electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic signature laws.
Sentinel CPO LLC records the timestamp, IP address, and session context of each phase election event. For Phase 2 upgrades, this record constitutes the Licensee's binding acceptance of the new 12-month commitment, the Gen-2 hardware deployment authorization, and all terms of this Upgrade Agreement and the incorporated original ELA.
This Upgrade Agreement is governed by the laws of the State of Connecticut, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration in accordance with the full dispute resolution terms set forth in the Sentinel CPO Terms of Service.
